WordPress Maintenance WordPress, the Genesis Framework, and the plugins we use to add extra features to the site go through regular, sometimes frequent, updates to the code. Some of these updates add more functionality or enhance the user interface; often these updates also contain patches for security vulnerabilities or unstable code. In the interest of keeping your site running and secure, we regularly check your site to make sure it is up to date. This happens at least once a week. We will handle this task in order to ensure the code that runs your site is up- to-date and secure. Critical security updates are handled immediately. In addition to ensuring the WordPress environment is kept up-to-date, we take several steps to maintain the integrity of your data. Best practices for WordPress continue to evolve with the platform; we keep abreast of these changes and implement them on all of our client sites as we determine them to be necessary and stable. We maintain daily backups for a period of 30 days. Manual backups are made before major code updates. Because we are accepting this responsibility, if your site is hacked or compromised in some way, we will restore your site to operability as soon as possible. Third-party Software Licenses In building your WordPress site, we make use of several third-party plugins to add capabilities to your site. For some of these plugins we pay annual fees - fees that may be passed along to you. You will be made aware of these fees in advance, and if you choose to move your site at a later date, we will advise you of the plugins for which you will need to continue to maintain on your own. Cost This WordPress Maintenance service costs $20/month and is billed annually ($240). Your maintenance term begins on the date listed below and will renew automatically on the same date annually unless we receive notice within 15 days of that renewal date. We’ll send you a renewal invoice 15 days before the end of your current term. Payment is due within 30 days of receipt. In this event customers will be entitled to a pro rata refund based upon the remaining period of membership. If a customer violates 5.12 Design Lab’s terms of service, a refund will not be issued in the event of a cancellation. Customers may cancel their account at any time, in writing, and will receive a pro rata refund based upon the remaining period of membership, with the pro rata amount determined from the beginning of the month following 5.12 Design Lab’s acknowledgement of intent to cancel. Client must notify 5.12 Design Lab of intent to cancel 15 days before the desired termination date.5) Privacy: Your information is not shared with or sold to any other third party entity or individual for that entity or individual’s independent use.6) Use of Employees, Partners, Subcontractors: 5.12 Design Lab reserves the right to have others assist in the maintenance of the website. This right includes but is not limited to the use of system administration or programmer subcontractors.7) Assignment: The client’s obligation under this contract can not be assigned to another third party entity or individual without the express written consent of 5.12 Design Lab.8) Copyrights and Trademarks: The client warrants that any and all text, graphics, photos, designs, video, animations, and all other visible content used on this website are owned by the client, or that the client has permission from the rightful owner to use the same. The client will hold harmless, protect, and defend 5.12 Design Lab, its owners, officers, employee and subcontractors from any claim or suit arising from the use of such item furnished by the client.9) Severability Provision: If any provision of this contract is found to be invalid or unenforceable, the remaining terms still apply and the contract maintains its enforceability.10) Severability Provision: Client agrees that the client is solely responsible for complying with such laws, taxes, and tariffs, and will hold harmless, protect, and defend 5.12 Design Lab, its owners, officers, employees and subcontractors from any claim, suit, penalty, tax, or tariff arising from the client's exercise of Internet electronic commerce. 5.12 Design Lab shall not be responsible for any loss of business or other damages resulting from occasional “down-time” or other technical problems related to the host server, whether caused by the web hosting company or by broader Internet problems beyond our control.11) Tax Advice: The client understands and acknowledges that Internet Electronic Commerce may require the collection of duties, taxes, tariffs and/or similar obligations on the part of the Client. It is understood and acknowledged that the Client is solely responsible for the collection of duties, taxes, tariffs and /or similar obligations in the connection with his/her/its Internet Electronic Commerce. It is further understood and acknowledged that 5.12 Design Lab has not provided any tax advice in connection with maintenance of the Client's website and the Client is solely responsible for complying with the Internal Revenue Code or applicable state or local tax law provisions.12) Agreement: The agreement contained in this "Website Maintenance Contract" constitutes the sole agreement between 5.12 Design Lab and the Client regarding this website. Any additional work not specified in this contract must be authorized by a written change order. All prices specified in this contract will be honored for 30 days.Acceptance Please read this document carefully.
